These Terms of Service ("Terms") govern your access to and use of the websites, portals, chat tools, AI features, and online services operated by CHK Technology Group LLC ("CHK Tech Group," "we," "our," or "us"), including chktechgroup.com and any related public or customer-facing portals we make available (collectively, the "Site").
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
CHK Technology Group LLC is a Managed Service Provider ("MSP") that provides IT, cybersecurity, cloud, and related professional services to businesses. Questions about these Terms may be sent to [email protected].
These Terms apply to your use of the Site and any public or customer-facing online resources, tools, portals, and features we provide through it.
These Terms do not replace any separate written agreement between you and CHK Tech Group, including any Master Services Agreement ("MSA"), Statement of Work ("SOW"), proposal, order form, Data Processing Addendum ("DPA"), business associate agreement, or other service agreement. If there is a conflict between these Terms and a signed written agreement between you and us, the signed written agreement controls.
You may use the Site only if you are legally able to enter into a binding agreement. If you use the Site on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization to these Terms.
We may update these Terms from time to time. Changes become effective when posted to the Site unless otherwise stated. Your continued use of the Site after revised Terms are posted means you accept the updated Terms.
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
We may suspend, restrict, or block access to the Site if we believe your use violates these Terms or creates risk to us, our clients, or others.
Your use of the Site, including submitting a contact form, requesting information, downloading materials, communicating with us through the Site, or interacting with any AI Tool, does not by itself create a managed services, consulting, support, fiduciary, or other client relationship.
CHK Tech Group is only obligated to provide services when both parties enter into a separate written agreement.
If we provide you with access to a portal, account, login, or other restricted area of the Site, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You agree to notify us promptly at [email protected] if you suspect unauthorized access, credential compromise, or other security incident involving your account.
We may disable credentials or restrict access if we reasonably believe it is necessary to protect the Site, our systems, or client data.
Certain portions of the Site may allow you to submit text, prompts, questions, instructions, files, or other content to interactive tools, including AI-powered features, chat interfaces, assistants, generators, recommendation tools, or similar functionality (collectively, the "AI Tools"). By using any AI Tool, you agree to this Section in addition to the rest of these Terms.
You may choose to submit prompts, questions, instructions, text, documents, files, or other content to an AI Tool ("Inputs"). You are solely responsible for your Inputs and for ensuring that you have all rights, permissions, and authority needed to submit them.
You may not submit any Input that:
The AI Tools may be available to both public users and authenticated client users.
If you are using an AI Tool through a public area of the Site, do not submit confidential, privileged, regulated, or client-sensitive information.
If you are using an AI Tool through an authenticated client portal, you may submit business information reasonably necessary for support, planning, or service-related interactions only to the extent you are authorized to do so. Even in authenticated areas, you must not submit passwords, MFA codes, private keys, recovery codes, payment card data, or other highly sensitive secrets unless the tool is expressly designated for secure handling of that specific data type.
As between you and CHK Tech Group, you retain any rights you may have in your Inputs. Subject to applicable law and third-party provider terms, you also retain any rights you may have in the responses, summaries, suggestions, drafts, recommendations, or other content generated by the AI Tools ("Outputs").
You grant CHK Tech Group a non-exclusive, worldwide, limited, revocable license to host, store, copy, transmit, process, display, analyze, and use your Inputs and Outputs as necessary to provide, operate, secure, maintain, debug, review, improve, test, train, tune, and develop the AI Tools, the Site, and related services, and to comply with law and enforce these Terms.
CHK Tech Group does not claim ownership of your Inputs. We do not sell your Inputs or Outputs.
AI Tools may produce content that is incomplete, inaccurate, outdated, misleading, or not suitable for your specific situation. Outputs may not be unique and may resemble content generated for other users.
You are solely responsible for reviewing, validating, and evaluating all Outputs before relying on or acting on them.
Outputs are provided for general informational purposes only and do not constitute legal, compliance, tax, insurance, financial, security, engineering, or other professional advice.
Any Output relating to cybersecurity, infrastructure, compliance, identity, access, networking, incident response, monitoring, disaster recovery, backup, device management, or system configuration is illustrative only and must be independently reviewed by qualified personnel before implementation.
You must not rely on an AI Tool as the sole basis for operational, security, regulatory, contractual, or business decisions.
Use of an AI Tool does not by itself create a help desk ticket, incident response engagement, escalation, project request, professional services commitment, or support obligation, even if the content of the interaction relates to technical or security matters.
Support obligations arise only under applicable service agreements and established support channels.
You may not use the AI Tools to:
The AI Tools may rely on third-party models, APIs, cloud providers, hosting providers, analytics providers, moderation providers, and other subprocessors. Your use of the AI Tools may therefore involve processing by those providers as described in our Privacy Policy and any supplemental notices we provide.
We may monitor, log, retain, review, and analyze Inputs, Outputs, and related technical metadata for security, abuse prevention, debugging, quality assurance, legal compliance, recordkeeping, and product improvement, subject to our Privacy Policy and applicable law.
We may limit, suspend, or terminate access to any AI Tool at any time, with or without notice, if we believe your use violates these Terms, creates security or legal risk, or could harm CHK Tech Group, our clients, our vendors, or other users.
The Site and its contents, including text, graphics, branding, logos, layouts, designs, downloads, documentation, software, and other materials, are owned by or licensed to CHK Tech Group and are protected by intellectual property and other applicable laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal business or personal informational use.
You may not reproduce, modify, distribute, create derivative works from, publicly display, republish, or commercially exploit any part of the Site without our prior written permission, except as expressly allowed by law.
If you provide us with suggestions, ideas, feedback, or recommendations regarding the Site, the AI Tools, or our services, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that feedback for any lawful purpose, without obligation to you.
The Site may contain links to third-party websites, tools, integrations, or services. We provide those links for convenience only.
We do not control and are not responsible for third-party content, policies, security, availability, or practices. Your use of third-party websites or services is at your own risk and subject to their terms and privacy policies.
Your use of the Site is also subject to our Privacy Policy. By using the Site, you acknowledge that we may collect, use, store, disclose, and process information as described in that policy, including Inputs, Outputs, usage data, device data, and related metadata associated with AI Tool interactions.
The Site and all related content, features, portals, and AI Tools are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CHK Tech Group disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Site or any AI Tool will be uninterrupted, error-free, secure, or free from harmful components, or that any content or Output will be complete, current, accurate, or suitable for your needs.
To the fullest extent permitted by law, CHK Tech Group and its owners, officers, employees, contractors, affiliates, licensors, vendors, subprocessors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, business opportunity, anticipated savings, data, or use, arising out of or related to your use of, or inability to use, the Site.
Without limiting the foregoing, CHK Tech Group is not responsible for decisions made, actions taken, or failures to act based on any content, recommendation, or Output generated by an AI Tool.
To the fullest extent permitted by law, the total aggregate liability of CHK Tech Group arising out of or related to the Site or these Terms will not exceed the greater of:

You agree to defend, indemnify, and hold harmless CHK Tech Group and its owners, officers, employees, contractors, affiliates, licensors, vendors, subprocessors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
We may suspend, restrict, or terminate your access to all or part of the Site at any time, with or without notice, if we believe you have violated these Terms, created security risk, exposed us or others to liability, or otherwise used the Site improperly.
Sections that by their nature should survive termination will survive, including ownership, intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute provisions, and any provisions relating to AI Tool usage, monitoring, and retention.
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law rules.
Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Cook County, Illinois, and each party consents to the personal jurisdiction and venue of those courts.
You may not use, export, re-export, or transfer the Site or any related materials in violation of applicable export control, sanctions, or trade laws and regulations.
These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, form the entire agreement between you and CHK Tech Group regarding your use of the Site, unless superseded by a separate signed written agreement.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision or any other right.
